PL Predict Disclosures & Terms

These disclosures and terms (the “PM Terms”) relate to PL Predict, a prediction markets offering interface made available through the Players’ Lounge Inc. d/b/a Players’ Lounge (the “Company,” “us,” “our” or “we”) website and application and powered by Stake Trade, Inc. d/b/a ProphetX, a CFTC-regulated designated contract market (“DCM”) platform or any CFTC-regulated DCM platform Company may engage with (each a, “DCM Provider”). The PM Terms apply solely to your use of and access to PL Predict and not to any other Company product or services. The PM Terms (as applicable) apply in addition to the Terms of Service and, where there is a conflict between the Terms of Service and the PM Terms, the PM Terms shall govern and control.

PLEASE CAREFULLY READ AND MAKE SURE YOU UNDERSTAND THESE TERMS, INCLUDING ALL DOCUMENTS LINKED OR INCORPORATED BY REFERENCE, BEFORE USING PL PREDICT. By using PL Predict, you acknowledge and understand that you (1) are subject to DCM Provider’s terms of service, rulebook, account requirements, fund custody arrangements, policies, procedures, and regulatory obligations all of which are made available to the user by the DCM Provider as specified by the DCM Provider (collectively the “DCM Terms”) and (2) you accept and agree to the PM Terms.

DISCLOSURES

The below disclosures set out the Company’s role in the PL Predict offering. YOU HEREBY AGREE THAT YOU HAVE RECEIVED, READ AND UNDERSTOOD THE FOLLOWING DISCLOSURES. Specifically, and without limitation, the Company:

• is NOT currently registered with the Commodity Futures Trading Commission (“CFTC”) as a DCM, Futures Commission Merchant, Introducing Broker, Commodity Trading Advisor, Swap Execution Facilities, Swap Dealers, or in any other capacity regulated under the Commodity Exchange Act (Company is acting as an Independent Software Vendor (“ISV”) with respect to prediction markets made available via PL Predict;

• is NOT a member of the National Futures Association;

• does NOT solicit or accept any order for any prediction market, event contract, futures contract, swap, or any other commodity interest on your behalf or on behalf of any other person;

• does NOT execute, clear, or settle any trade or transaction of any kind in connection with prediction markets or event contracts;

• does NOT custody any funds or assets for prediction market or event contract trading;

• does NOT provide investment advice, financial guidance, trading recommendations, trade signals, or any information intended to influence your decision to buy or sell any event contract;

• has NO role in the opening, onboarding, maintenance, access, compliance, operation or termination of any account you may establish with any DCM Provider;

• does NOT recommend, endorse, propose, vouch for or encourage its customers to use any DCM Provider’s platform or any other prediction market platform; and

• does NOT have any membership with trading privileges on DCM Provider’s platform or any other prediction market platform.

SUPPLEMENTAL TERMS

By signing up to use PL Predict, using PL Predict or by accepting or agreeing to the PM Terms when the option is made available to you, you accept and agree to be bound and abide by these terms and the Terms of Service and confirm that you have agreed to the DCM Terms.

1. Accessing PL Predict

   To access PL Predict, you must first create an account with any DCM Provider and in doing so agree to the DCM Terms. No DCM Provider account can be created through the Company's platform.

   
   

   The Company is not involved in the account creation process and makes no representation regarding eligibility to open a DCM Provider account or to trade event contracts in any particular jurisdiction. Eligibility is determined solely by DCM Provider and applicable federal and state law. The Company is also not involved in DCM Provider account maintenance, monitoring (relating without limitation to fraud, money laundering, and insider trading), investigation, suspension, or termination.

   
   

   Any DCM Provider’s onboarding process (including agreeing to the DCM Terms) occur exclusively between you and such DCM Provider and may include, without limitation:

   • Completing DCM Provider's identity verification and Know Your Customer (KYC) process;

   Reviewing DCM Provider's risk disclosures as required by the relevant regulators, including disclosures regarding any risks relating to trading;

   • Agreeing to comply with DCM Provider’s rulebook, which governs all trading, order handling, and settlement on its exchange; and

   • Complying with any and all eligibility requirements, including age verification and state availability restrictions imposed by DCM Provider and applicable law.

     
     

2.  All Trading Activity Occurs on DCM Provider's Systems

   While prediction markets are accessible through PL Predict, all trading activity occurs exclusively on DCM Provider's exchange and systems. You understand and agree that:

   • any trading instruction you submit through PL Predict is transmitted directly to DCM Provider via API and processed exclusively by DCM Provider;

   • the Company does not handle, approve, or have any involvement in the processing of your trading instructions at any stage;

   • order execution, matching, settlement, and all other exchange functions are performed solely by DCM Provider pursuant to the DCM Terms and its CFTC regulatory obligations;

   • the PL Predict offering does not make the Company a party to, or responsible for, any trade, order, or transaction you enter into with DCM Provider;

   • the Company has no ability to cancel, modify, or reverse any order or executed trade via PL Predict, which are governed solely by DCM Provider's rules; and

   • your trading experience, including available information, order execution, market availability, pricing, contract terms, and settlement outcomes, is entirely determined by DCM Provider and is entirely outside the Company's control.

   
   

3. Relationship between the Company and DCM Provider

   The Company and each DCM Provider are independent entities. The Company is not an affiliate, agent, representative, joint ventureship, financial intermediary, or partner of any DCM Provider with respect to any prediction market activity. Each party’s roles in the PL Predict offering are as follows:

   
   

   • DCM Provider (Designated Contract Market) Each DCM Provider is a DCM registered with and regulated by the CFTC. Each DCM Provider operates an independent, federally regulated prediction markets exchange on which event contracts are listed, priced, traded, and settled. The DCM Terms which govern trading activity are controlled by and compliance with such terms is monitored by any DCM Provider entirely separately from and independently of the Company. When you access PL Predict, all trading activity occurs solely between you and the DCM Provider. Each DCM Provider is also responsible for customer service or any disputes regarding prediction market activity via DCM Provider’s platform, including, but not limited to, issues relating to trades, settlements, account status and custody. All activity on the prediction market offering is subject to the DCM Terms.

   
   

   • Company (Independent Software Vendor) - The Company is an ISV that provides a front-end user interface to enable you to view and access DCM Provider’s prediction markets. The Company's display of DCM Provider content via DCM Provider’s API (or via other technical means) does not make the Company a prediction market participant, trading venue, a broker, or a financial intermediary of any kind. The Company’s role is limited to marketing and branding of PL Predict and does not include market functions, such as, order entry, order execution, contract settlement, account management, and custody. Such functions occur exclusively on DCM Provider's systems, subject to oversight by DCM Provider's regulators, and pursuant to the DCM Terms. This means that, while you may view and access prediction market content (including available event contracts, market prices, and account information) through PL Predict, that content is sourced entirely from, generated entirely by, controlled by, and remains entirely the responsibility of DCM Provider.

   
   

   The Company is not responsible for anything on any DCM Provider's systems, exchange, or platform (including any content, data, or functionality displayed through PL Predict).

   
   

4. No Endorsement

   The Company's display of DCM Provider's prediction market interface through PL Predict is provided solely as a technology convenience for users who have chosen to establish an account with DCM Provider. The Company:

   • does not endorse, recommend, solicit, or vouch for any DCM Provider, its products, its solvency, or the accuracy of any information displayed through the DCM Provider’s API;

   • does not independently review, validate, or take responsibility for the content, contract terms, pricing, availability, or performance of DCM Provider's platform or exchange, including as displayed within the Company's interface;

   • makes no representation that DCM Provider's platform or API feed will be error-free, continuously available, accurate, or fit for any particular purpose; and

   • Is not responsible for any harm you suffer as a result of accessing or using DCM Provider's services, including through the API interface displayed on the Company's platform.

   
   

5. Liability; No Warranty

   YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, SUBSIDIARIES, SUPPLIERS, AND LICENSORS OR ANY OF THE OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, STOCKHOLDERS, OR OWNERS OF ANY OF THE FOREGOING BE LIABLE FOR ANY CONSEQUENTIAL DAMAGES, SPECIAL DAMAGES, TRADING LOSSES, LOSS OF ANTICIPATED PROFITS OR GAIN RELATING IN ANY WAY TO TRADING, INCLUDING LOSS OF ANY TRADING INCENTIVE OR BONUS, LOSS BY REASON OF SHUTDOWN IN OPERATION OR FOR INCREASED EXPENSES OF OPERATION, SPECIAL PUNITIVE DAMAGES, INCIDENTAL LOSS, LOST PROFITS, LOSS OF OPPORTUNITY, OR INDIRECT DAMAGES, ARISING FROM ANY CAUSE WHATSOEVER, INCLUDING CAUSES RELATED TO OR ARISING FROM YOUR USE OF PL PREDICT, EVEN IN THE EVENT THE COMPANY OR ANY OF THE FOREGOING PERSONS OR ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH SUCH CLAIM IS BASED. YOU AGREE THAT THESE LIMITATIONS WILL SURVIVE AND APPLY EVEN IN THE EVENT ANY LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

   YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT THE COMPANY, ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS, PROVIDE PL PREDICT “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. THE COMPANY SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

   
   

6. Disclaimer

   TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM OR RELATED TO PL PREDICTION MARKETS OR EVENT CONTRACTS, INCLUDING WITHOUT LIMITATION:

   • Any financial loss you sustain from trading or attempting to trade event contracts on DCM Provider’s platform, whether accessed through the Company's API-displayed interface or otherwise;

   • Any failure, error, delay, inaccuracy, or unavailability of any DCM Provider's platform, exchange systems, or API data feed, including as it appears within the Company's platform;

   • Any errors or inaccuracy in market data, contract terms, pricing, or settlement information sourced from any DCM Provider and displayed within the Company’s interface;

   • Any regulatory action, enforcement proceeding, trading suspension, contract delisting, or legal development affecting any DCM Provider or the prediction markets industry generally;

   • Any loss arising from your inability to access any DCM Provider's exchange or services due to state law restrictions, regulatory orders, API interruptions, or any other factor;

   • Any claim relating to custody of funds or assets in any DCM Provider account or settlements of assets in any DCM Provider account; and

   • Any dispute between you and any DCM Provider of any nature, regardless of how or where DCM Provider's interface was accessed.

     
     

7. Changes to Access

   The Company reserves the right to remove, modify, suspend, or discontinue its display of DCM Provider's prediction market interface at any time, without notice, and for any reason, including changes in applicable law, regulatory guidance, technical requirements, or the Company's business judgment. Discontinuation of the API display does not affect any existing account or positions you hold with any DCM Provider, which remain entirely your responsibility and are governed solely by your agreement with anyDCM Provider.
